Revenue Partner Program Terms

Revenue Partner Program Terms

Published before the first conversation rather than produced after you have told your audience about us. If something in here does not work for your channel, finding that out now costs you one read.

Effective: October 12, 2026 · Last updated: October 12, 2026 · Applies to: the I Ninja LLC Revenue Partner Program

A note while this is being finalized

The written partner agreement is with counsel. Points that are still open are marked below rather than papered over, including the one that matters most to a partner, which is how long the share continues after the arrangement ends. Nothing on this page is legal or tax advice to you.

The short version

Thirty to thirty five percent, banded by volume. Of the eligible monthly revenue actually collected from clients in your channel, for as long as they stay. Your number is agreed in writing before you introduce anybody.

We deliver and we bill. You do not price it, invoice it, support it or carry the collections risk.

We own the client. You hold a contractual right to a share of revenue, not the account. It cannot be sold or transferred.

You must tell your audience you earn from it. That is a legal obligation and it is yours, not ours.

Nothing to buy, ever. No partner fee, no licence, no minimum, and no compensation for recruiting other partners.

This summary is for convenience and is not part of the agreement. The numbered sections describe the program, and the signed agreement governs it.

1. What this page is

This page describes the I Ninja LLC Revenue Partner Program in plain language, so you can judge the commercial arrangement before you put your name near it.

It is a description, not the contract. The contract is a written partner agreement signed by both parties. Where anything on this page differs from that agreement, the agreement wins. Nothing here is legal or tax advice to you.

In plain terms: this is for deciding whether to have the conversation. The agreement is for deciding whether to do it.

2. Who this is between

The program is operated by I Ninja LLC. In these terms "we" and "us" mean I Ninja LLC, and "you" or "partner" means the business or individual accepted into the program.

Your channel means the client base, membership, network or audience you already have a relationship with and introduce to us. Partners are usually agencies, consultants, associations, franchisors, networks, audience owners or adjacent service providers.

3. This is a commercial arrangement, not employment

You are an independent business. This is not employment, not a franchise, not a licence and not a joint venture, and it creates no partnership in the legal sense despite the name of the program.

Neither of us can bind the other, sign on the other's behalf, or incur liabilities for the other. You run your own business, carry your own costs, and keep doing whatever else you already do.

4. What a Revenue Partner does

You introduce businesses from your channel to our services. You are not responsible for building, configuring, onboarding, supporting or invoicing anything. That is ours, and it is the reason the arrangement is worth considering at all.

There is no minimum number of introductions, no required activity and no obligation to promote on any schedule. How much you do, and how publicly, is your decision.

5. How a client becomes attributed to your channel

Attribution is what makes a client count as part of your channel for revenue share purposes. It is determined by our records under the rules set out in the agreement, covering how an introduction is registered, how long it stays live, and what happens if the same business is claimed twice.

A business that was already our client before you arrived is not attributed to you by being in your audience. The agreement states how pre-existing clients are identified so that this is a checkable fact rather than an argument later.

Being finalized

The attribution window, the registration method, the treatment of pre-existing clients and the tie-break rule for competing claims are being written into the agreement as specific, checkable rules. This page will be updated to describe them once they are fixed.

6. How your revenue share is calculated

You earn thirty to thirty five percent of the eligible monthly package revenue actually collected from clients attributed to your channel, for as long as those clients stay active and that revenue keeps being collected.

For comparison, an individual sales representative under our representative program earns twenty percent on the same collected revenue. A partner earns roughly half as much again, because a channel produces volume that an individual working account by account does not.

The share is calculated on revenue collected, not on agreements signed.

7. How the bands work

Where you sit in the thirty to thirty five percent range is set by the volume your channel produces. Your specific percentage and the volume thresholds that move it are agreed in writing before you make a single introduction.

In plain terms: you will know your number, and what would change it, before you tell anybody in your channel about us. A rate that only becomes clear after the introductions have started is a rate that is about to be negotiated against you.

Being finalized

The specific volume thresholds for each band, how often banding is reviewed, and whether a band once reached is held or can fall back are being fixed in the agreement. No thresholds are published here because a number on a web page that differs from the signed document helps nobody.

8. What eligible collected revenue means

Eligible revenue is the recurring monthly package revenue for the services the program treats as commissionable, and only the portion we actually receive and keep.

It does not automatically include everything a client might pay us. One off setup or build fees, third party pass through costs, taxes, refunded amounts and amounts never collected are treated separately. The agreement lists what qualifies.

9. We bill the client, and we own the account

I Ninja LLC contracts with the client, invoices the client, collects the payment and owns the account, the service agreement and the client records. This is a revenue share, not a resale or a white label arrangement.

You do not set the price, you do not invoice anybody, and you do not carry the collections risk. You also do not own the client, and you should weigh that properly rather than discover it later.

In plain terms: if what you actually want is to buy at wholesale, set your own price and own the relationship outright, this is the wrong structure and you should say so before we go further.

10. When you get paid

The share accrues as eligible revenue is collected and is paid on the schedule in the agreement. Because payment follows collection, your first payment is tied to the first eligible revenue we actually receive from a client in your channel.

You will be able to see what has been attributed to your channel and what has been collected against it.

Being finalized

The payment cycle, cut off date, minimum payout threshold and payment method are being fixed in the agreement.

11. When a client upgrades or reduces

If a client in your channel moves to a larger package, your share recalculates against the new higher eligible monthly revenue, including when we handle the upgrade without you involved.

The same mechanism runs in reverse. If a client reduces services or pauses, your share reduces with them. If they cancel, the share on that client ends, because there is no longer any collected revenue to share. Your other accounts are unaffected.

12. The share continues while clients stay

Once a client is attributed to your channel, the share continues for as long as they stay active, keep receiving eligible services and keep generating collected revenue. There is no volume you must keep hitting to retain what you already introduced.

If your channel goes quiet for a quarter, the accounts already in it carry on paying. What continues after the arrangement itself ends is covered in section 18.

13. What your revenue share right is, and is not

Your revenue share right is a contractual right to be paid a percentage of revenue we collect. It is a payment stream.

It is not an ownership interest in I Ninja LLC, not equity, not a security, and not a book of business you own. It cannot be sold, assigned, pledged, borrowed against or commercially transferred to a third party.

In plain terms: it can pay you for years and you still cannot sell it. If building a sellable asset is the point for you, this is the wrong structure.

Attorney decision

Whether and how the revenue share right survives a sale, merger or change of control of the partner's own business is with counsel. Agencies and networks are bought and sold routinely, so this needs a clear answer rather than silence.

14. Exclusivity

There is no exclusivity by default. We may work with other partners, including in your sector and your region, and you may represent other products that do not directly compete with ours.

If your channel genuinely requires category or territory exclusivity, say so early. It is a conversation we are willing to have, it is agreed in writing if at all, and it will carry obligations on your side rather than being granted for nothing.

Attorney decision

The form any exclusivity would take, including scope, duration, minimum performance conditions and how it ends, has not been settled. Exclusive dealing arrangements carry competition law considerations and will not be granted informally.

15. How you must present this to your channel

Your audience trusts you, and you are being paid when they buy. Both of those things are fine. Hiding the second one is not.

  • Disclose that you earn from it. Clearly and close to the recommendation, not buried in a footer. This is a legal obligation in the United States under the FTC Endorsement Guides, and it is your obligation as the endorser.
  • Do not guarantee results, outcomes, revenue, credit scores, rankings, review counts or any other number.
  • Do not state prices, terms, timelines or capabilities that have not been confirmed with us.
  • Do not describe yourself as part of I Ninja LLC, or sign anything on our behalf.
  • Do not use pressure selling or manufactured urgency with people who trust you.
  • You are responsible for your own compliance with telemarketing, email and do not call rules when you contact your own channel.

In plain terms: an audience that finds out later that you were paid is an audience you have lost, and no percentage is worth that. Say it up front and the recommendation still works.

16. Use of names and marks

You may say you are a Revenue Partner of I Ninja LLC and use the materials we give you, for that purpose, while the arrangement is in place. We may name you as a partner in the same way.

Neither of us acquires rights in the other's brand beyond that. You may not register anything confusingly similar, bid on the other's name in paid search, or imply a relationship broader than this one. Both permissions end when the arrangement does.

17. Confidentiality

You will see pricing structures, client information, internal material and how the systems are built. Keep that confidential, use it only for the program, and return or destroy what you hold if the arrangement ends.

We will likewise not disclose the contents of your channel, your client list or your commercial information. This does not cover information already public, known beforehand, or required to be disclosed by law.

18. Ending the arrangement

Either party may end the arrangement on the notice stated in the agreement. You can stop making introductions at any time.

On an ordinary ending: the share on clients already attributed to your channel continues under section 12 for the period the agreement specifies. You stop registering new introductions and the naming permissions in section 16 end.

On termination for cause: the continuing share can be forfeited. Cause means serious conduct and is defined specifically in the agreement rather than left open, and it is not a mechanism for ending the arrangement once a channel becomes expensive.

Attorney decision

The notice period, the definition of cause, whether a cure period applies, and above all how long the share continues after an ordinary ending are with counsel. That last point is the single most important number in this document for a partner, and it will be stated as a definite period rather than left to interpretation.

19. Taxes and your own costs

You are paid gross with nothing withheld, and you are responsible for your own taxes and your own business costs. We report payments as required and will need the appropriate tax form from you before we can pay you.

20. No earnings guarantee

No minimum revenue, share or result is guaranteed, promised, projected or implied. What a channel produces depends on its size, its trust and what those businesses actually need.

Any figure another partner has achieved is that partner's result and is not a prediction about yours. We do not publish earnings claims or income examples, and you must not either.

21. Costs to participate

There are none. No partner fee, no licence fee, no onboarding charge, no minimum purchase, no inventory and no upfront financial commitment of any kind.

No compensation of any kind is earned from recruiting other partners. There is no downline and no recruitment based compensation in this program.

22. Changes to the program

We may change the services offered and the material provided. Changes are not retroactive: share already accrued on revenue already collected is not altered by a later change.

Changes to your percentage or to the bands are made as the agreement provides, with notice. If a change is unacceptable to you, you may end the arrangement under section 18.

23. Governing law and disputes

The program and the agreement are governed by the laws of the State of California, without regard to its conflict of law rules.

Raise any problem with us first at ianl@i-ninja-llc.com. Most disagreements about attribution or calculation turn out to be a records question. If a dispute cannot be resolved informally it will be handled in the courts of the State of California, and both parties agree to the jurisdiction of those courts.

Attorney decision

Whether disputes under the partner agreement should go to binding arbitration has not been decided. Nothing of that kind has been added here.

24. How to contact us

Questions about the program go to ianl@i-ninja-llc.com or through the contact page. Questions about whether your channel fits are better asked on the fifteen minute call, which is free and carries no pitch.

If any provision of these terms is found unenforceable, it is modified to the minimum extent necessary or severed, and the rest stays in force. A failure to enforce a provision is not a waiver of it.

Important: This page describes an independent commercial arrangement. It is not employment, not a franchise, not a licence, not an offer of a security and not a guarantee of earnings. No salary, employee benefits, guaranteed revenue or minimum result is offered or implied. Revenue share is calculated on eligible collected monthly package revenue. Rates, bands, client attribution, payment schedules, term, termination, post termination payments and exclusivity if any are governed by a written partner agreement, which controls if anything on this page differs from it. I Ninja LLC retains ownership of all client accounts, service agreements and client information.

Next step

Describe your channel. I will tell you honestly if it fits.

Including when the answer is that it does not. If the structure works for you after reading this, the next step is a conversation rather than an application.
